Sanoma Magazines intends to sell its puzzle magazines

Amsterdam, 6 June 2007 – The Dutch-based Sanoma Uitgevers, part of Sanoma Magazines, the magazine division of the SanomaWSOY Group, announced today that the company intends to sell its puzzle magazines in the Netherlands to Keesing Media Group BV. (Keesing), part of Telegraaf Media Group N.V., a Dutch stock listed company.


The decision follows the redefinition of Sanoma Uitgevers’ position in the puzzle market in the Netherlands.


Sanoma Uitgevers’ puzzle magazine portfolio includes puzzle titles with brands like Puzzelsport and Bingo. The possible transaction involves all activities of the puzzle cluster. Currently the puzzle cluster employs 29 persons.


With this acquisition Keesing acquires a line of products that fits perfectly into its own portfolio. In addition, Keesing expects to accomplish a number of synergistic effects through this acquisition.


Keesing and Sanoma Uitgevers expect to enter into a final agreement within a short period of time. The transaction will be subject to due diligence, positive advice of the works councils of Sanoma Uitgevers and Keesing Media Group and Keesing Media Group supervisory Board.
